By accessing or using StudioBrief Pro ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and the operator of StudioBrief Pro regarding your use of the Service.

StudioBrief Pro is an AI-powered tool designed to help marketing and creative teams generate structured creative briefs. The Service uses artificial intelligence, including third-party language models, to process your inputs and produce outputs.

You acknowledge that AI-generated content may contain errors, inaccuracies, or outputs that do not meet your specific requirements. You are solely responsible for reviewing, editing, and approving all generated content before use.

To access certain features, you must create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement.

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory;
• Upload or transmit malware, viruses, or any other malicious code;
• Attempt to gain unauthorized access to any part of the Service or its related systems;
• Scrape, crawl, or otherwise extract data from the Service without authorization;
• Use the Service in a manner that violates any applicable law or regulation;
• Reverse engineer, decompile, or disassemble any aspect of the Service.

You retain all rights to the content you input into the Service ("User Content"). By using the Service, you grant us a limited license to process your User Content solely for the purpose of providing and improving the Service.

You retain ownership of the outputs generated by the Service based on your inputs, to the extent permitted by applicable law. We make no claim of ownership over your generated briefs.

All rights, title, and interest in and to the Service itself — including its software, design, trademarks, and underlying technology — remain our exclusive property.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:

• The Service will meet your specific requirements or expectations;
• The Service will be uninterrupted, timely, secure, or error-free;
• The results obtained from using the Service will be accurate, reliable, or suitable for your intended purpose;
• Any errors in the Service will be corrected.

You expressly acknowledge and agree that your use of the Service is at your sole risk. No advice or information, whether oral or written, obtained from us or through the Service shall create any warranty not expressly stated in these Terms.

To the maximum extent permitted by applicable law, in no event shall we, our affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

We reserve the right to suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for any reason or no reason, including but not limited to a breach of these Terms.

Upon termination, all licenses and other rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may stop using the Service at any time. However, you remain liable for all charges incurred prior to termination.

The Service relies on third-party AI providers (such as OpenAI, Google, or other large language model providers) to generate content. Your use of the Service is also subject to the terms and policies of these third parties. We are not responsible for the acts or omissions of these third-party providers.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tel Aviv-Yafo, Israel.
